TERMS & CONDITIONS
Written specifications.
Clear responsibilities.
These website terms support, but do not replace, the written quotation, proof, invoice and order confirmation for each project.
Quotations and order formation
Unless stated otherwise, quotations are valid for 15 calendar days and may change with materials, exchange rates, freight or specification changes. An order is accepted only after the required payment and written confirmation of product, quantity, price, trade term and schedule.
Payments
Deposit and balance requirements are stated on the invoice or quotation. Production may not begin until cleared payment and required approvals are received. Bank, card, currency-conversion and intermediary charges are the customer’s responsibility unless stated otherwise.
Artwork, trademarks and customer materials
The customer confirms that it owns or has permission to use all logos, trademarks, artwork, instructions and other materials supplied, and authorizes their use to produce the order. The customer is responsible for claims resulting from unauthorized material.
Proofs, samples and tolerances
The customer must review spelling, colours, dimensions, print position and specification before approval. Digital proofs show layout and may not reproduce exact material or colour. Reasonable production tolerances in colour, fabric, dimensions, placement and quantity may occur; project-specific tolerances should be confirmed in writing.
Production and changes
Lead times begin after payment and approval milestones are complete. Changes requested after approval may affect price, minimum quantity and schedule and may require a new proof or sample.
Shipping, clearance and risk
Shipping and import responsibilities follow the trade term on the written quotation. The customer must provide accurate consignee and import information and cooperate with customs or carriers. Title and risk transfer as stated in the confirmed trade term.
Force majeure
Neither party is responsible for delay caused by events beyond reasonable control, including natural disasters, epidemics, labour disruption, government action, transport interruption, material shortages, power or network failure and customs or port delays.
Liability
To the extent permitted by applicable law, MakerSora is not liable for indirect, special or consequential loss, lost profits or lost opportunity. Aggregate liability for an order will not exceed the amount paid for the affected goods, except where the law does not allow that limitation.
Governing law
The governing law and dispute venue will be stated in the written quotation or order confirmation. Before direct online checkout launches, these terms will be updated with the legal operating entity and its Canadian jurisdiction.
